1. Purpose and scope
1.1 These terms and conditions of sale (hereinafter "Terms") govern all contractual relationships between Aegis IA Locale, a sole proprietorship registered under number 993 471 077 R.C.S. Metz (hereinafter "the Vendor"), and any professional or individual customer (hereinafter "the Client") for:
- Sale of BeamReactor software licences
- Sale of computer equipment and hardware
- Installation, configuration and customisation services
1.2 These Terms take precedence over any other general conditions that may be invoked by the Client, unless prior written agreement from the Vendor.
1.3 The Vendor reserves the right to modify these Terms at any time. The applicable Terms are those in force on the date the order is placed.
2. Offers and contract formation
2.1 Online offers
Prices and product descriptions displayed on the website constitute a firm commercial offer, subject to availability. Any order placed via the website constitutes acceptance of these Terms.
2.2 Order confirmation
A confirmation email is sent to the Client after payment validation. The contract is deemed concluded upon receipt of this email.
2.3 Custom quotes
For projects requiring significant customisation, a written quote is issued. This quote is valid for 30 days from its date of issue. Written acceptance constitutes a contractual commitment.
3. Prices and payment terms
3.1 Prices
Prices are stated in euros, excluding VAT (ex. VAT) for professional clients and including all taxes (incl. VAT) for individuals. The applicable VAT rate is that in force on the date of the order.
3.2 Payment terms
Full payment is due at the time of order. Accepted payment methods:
- Credit/debit card (via secure payment platform)
- Bank transfer (details provided on each invoice)
- Cheque or cash (within legal limits, for in-person transactions)
3.3 Late payment (professional clients)
In case of late payment, penalties at a rate of 1.5 times the legal interest rate will be automatically applied, together with a fixed recovery fee of €40, without prior notice.
3.4 Retention of title clause
In accordance with Article 2367 of the French Civil Code, delivered physical equipment remains the property of the Vendor until full payment of the price.
4. BeamReactor software licences
4.1 Nature of the licence
The purchase of a BeamReactor pack includes a perpetual, non-exclusive, non-transferable licence to use the BeamReactor CMS software, for deployment on the Client's own infrastructure. The licence does not permit resale, redistribution, or making the software available to third parties.
4.2 Digital delivery
Software files are delivered electronically (secure download or email) within 24 to 48 business hours following payment confirmation.
4.3 Updates
Corrective updates (maintenance) are included during the period defined in the subscribed offer. Major functional updates may be subject to separate billing under the offer terms.
4.4 Intellectual property of the software
The BeamReactor software is and remains the exclusive property of the Vendor. Any decompilation, modification, source code extraction, or circumvention of protection mechanisms is strictly prohibited, except as required by law.
5. Equipment sales
5.1 Product description
Equipment is described as accurately as possible. The Vendor reserves the right to propose equivalent equipment in case of unavailability, subject to Client agreement.
5.2 Delivery
Delivery times indicated are for information purposes only. A delivery delay cannot give rise to order cancellation, penalties, or damages, except in case of delay exceeding 30 working days from the initially agreed deadline.
5.3 Receipt
The Client must verify the condition of equipment upon delivery. Any apparent anomaly (damaged package, missing product) must be reported to the carrier and the Vendor within 48 hours following receipt, by registered letter with acknowledgment of receipt.
5.4 Warranties
5.4.1 Legal warranty of conformity
The Client benefits from the legal warranty of conformity provided for in Articles L.217-4 et seq. of the French Consumer Code (for individuals) and the warranty against hidden defects provided for in Articles 1641 et seq. of the French Civil Code.
5.4.2 Manufacturer warranty
Equipment benefits from the manufacturer warranty whose duration varies according to products (generally 1 to 3 years). Specific conditions are communicated for each product.
5.4.3 Warranty exclusions
Excluded from warranty are:
- Damage resulting from abnormal, negligent, or non-compliant use
- Normal wear and tear of equipment
- Damage caused by force majeure
- Interventions performed by unauthorised third parties
- Third-party software, whose warranty is governed by publisher licence agreements
6. Installation and configuration services
6.1 Installation and deployment
Installation and configuration services are either included in the pack price or billed separately, depending on the offer. The Client must ensure that technical prerequisites (PHP 8.3+ server, MySQL database, SSH or FTP access) are available before the intervention.
6.2 Customisation
Skin customisation (graphic design, colours, logo) is included under the offer terms. Additional specific developments are billed separately by quotation.
6.3 Support and maintenance
Unless otherwise stated in the offer, post-delivery technical support is not included in the initial sale price. Maintenance contracts can be subscribed separately.
7. Intellectual property
7.1 Vendor deliverables
All documents, configurations, customisations and deliverables produced by the Vendor as part of its services remain its exclusive intellectual property, unless express written transfer of rights.
7.2 Usage rights
The Client benefits from a non-exclusive, non-transferable right to use the deliverables for their own needs. Any reproduction or distribution to third parties is prohibited without prior authorisation.
8. Liability and insurance
8.1 Limitation of liability
The Vendor's liability can only be engaged in case of proven fault. In any case, liability is limited to the amount actually received for the order concerned.
8.2 Exclusions
The Vendor cannot be held liable for:
- Indirect damages (loss of revenue, data, customers, etc.)
- Consequences related to non-compliant use of the software or equipment
- Failures attributable to the Client's infrastructure or third-party services
- Force majeure events
8.3 Insurance
The Vendor is covered by professional liability insurance. The certificate is provided upon request.
9. Withdrawal right (consumer clients)
In accordance with Articles L.221-18 et seq. of the French Consumer Code, consumer Clients have a 14-day period to exercise their withdrawal right, without having to justify reasons or pay penalties.
Exceptions: The withdrawal right cannot be exercised for:
- Downloaded and activated software licences after delivery (digital goods supplied with the Client's express agreement)
- Services started with the Client's agreement before the end of the withdrawal period
- Equipment configured or customised specifically for the Client
10. Personal data protection
The Vendor commits to complying with the General Data Protection Regulation (GDPR — EU 2016/679). Collected data (name, email, address) is strictly necessary for order management and the commercial relationship. The Client has rights of access, rectification, and deletion by contacting the Vendor. For more information, please consult our Privacy Policy.
11. Force majeure
The Vendor cannot be held liable in case of non-performance of its obligations resulting from a force majeure event as defined by Article 1218 of the French Civil Code (natural disaster, war, fire, strike, epidemic, communication network failure, etc.).
12. Dispute resolution
12.1 Mediation
In case of dispute, the Client may resort to conventional mediation or any other alternative dispute resolution method.

12.2 Competent jurisdiction
Failing amicable resolution, any dispute shall fall under the exclusive jurisdiction of the courts in the district of the Vendor's registered office, except for contrary legal provisions applicable to consumers.
13. General provisions
13.1 If any clause of these Terms should be declared null or unenforceable, the other clauses shall retain their full validity.
13.2 The Vendor's failure to invoke any clause at any given time cannot be interpreted as waiving the right to invoke it later.
13.3 These Terms are governed by French law.
